Terms of Service

These Terms of Service ("Terms") govern your access to and use of the website and services provided by Paul Nitsch operating as OverEngineeredVTT at oevtt.com (the "Platform"). By creating an account or using the Platform you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Platform.

1. The Platform

OverEngineeredVTT is a digital marketplace where independent creators ("Creators") sell and distribute Foundry Virtual Tabletop ("Foundry VTT") modules and related content to buyers ("Users"). We act as the marketplace operator; we are not a party to contracts between Creators and Users and we do not own or warrant any Creator content.

2. Eligibility

You must be at least 13 years of age to use the Platform. If you are under the age of majority in your jurisdiction you represent that a parent or legal guardian has reviewed and agreed to these Terms on your behalf.

3. Accounts

  • You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account.
  • You must provide accurate and up-to-date account information.
  • You may not share, transfer, or sell your account to another person.
  • We reserve the right to suspend or terminate accounts that violate these Terms, at our sole discretion.

4. Purchasing Digital Products

4.1 Orders and Payment

All purchases are processed by Stripe. By completing a purchase you authorise a charge to your selected payment method. Prices are displayed in USD and are subject to change without notice. Applicable taxes (if any) are the responsibility of the buyer.

4.2 License Grant

Upon successful payment you receive a non-exclusive, non-transferable, personal-use license to install and use the purchased module in your own Foundry VTT instances. You may not redistribute, resell, sublicense, or share the module files or license key with others.

4.3 Refund Policy

All sales of digital content are final once a download has been accessed or a license key has been used. If you have purchased a product and have not yet downloaded or accessed it, you may request a full refund within 48 hours of purchase by contacting [email protected] with your order details. Refunds are issued at our discretion and are processed through Stripe back to the original payment method.

Refunds will not be issued for dissatisfaction with Foundry VTT version compatibility issues disclosed in the product listing, or for products where the buyer already holds a valid license key from a prior purchase.

4.4 Chargebacks and Payment Fraud

Initiating an unwarranted chargeback or payment dispute constitutes a breach of these Terms. Where we determine that a chargeback is fraudulent or unjustified, we reserve the right to immediately revoke any affected licenses, suspend or terminate the associated account, and hold or reverse any related Creator payouts pending investigation. We may pursue recovery of disputed amounts through all available legal means.

5. Creator Terms

5.1 Becoming a Creator

Creator access requires an approved application reviewed by OverEngineeredVTT. Approval is at our sole discretion. Creators must connect a Stripe Connect account to receive payouts.

5.2 Platform Fee

OverEngineeredVTT retains a platform fee of 20% of the gross sale price (excluding any Stripe processing fees) for each transaction. The remaining 80% is paid out to the Creator's connected Stripe account per Stripe's standard payout schedule.

5.3 Content Standards

By submitting content to the Platform, Creators represent and warrant that:

  • They own or have all necessary rights to the content, including any third-party assets used.
  • The content does not infringe any intellectual property, privacy, or other rights of any third party.
  • The content complies with Foundry Gaming LLC's module licensing requirements and the terms of any game system being targeted.
  • The content does not contain malicious code, exploits, or any functionality not disclosed to buyers.
  • Product descriptions and screenshots accurately represent the content.

5.4 Content Moderation

OverEngineeredVTT reviews submitted modules before publication. We reserve the right to reject, remove, delist, or temporarily suspend any content that violates these Terms or that we determine requires investigation, without prior notice or liability to the Creator. A module that is temporarily suspended for investigation is placed into an "Under Review" state: it is hidden from the store, no new licenses can be purchased, and existing license holders' downloads are paused while the concern is investigated. The Creator is notified by email with the reason for the review. Once investigation is complete, the module will be reinstated or permanently removed. In cases of deliberate misrepresentation or IP infringement, the associated Creator account may be terminated.

5.5 Manifest URLs

By submitting a module to the Platform, Creators grant OverEngineeredVTT the right to modify the module's Foundry VTT manifest file (typically module.json) to update manifest and download URLs so that they point to Platform-hosted infrastructure. This ensures consistent install and update behaviour for buyers. Creators retain ownership of all other content; only manifest URL fields are subject to this modification.

5.6 Creator Responsibilities

  • Creators are responsible for providing accurate compatibility information (Foundry VTT version range, dependencies).
  • Creators are responsible for their own tax obligations arising from sales. OverEngineeredVTT does not withhold or remit tax on behalf of Creators.
  • Creators must honour any refund decisions made by OverEngineeredVTT under Section 4.3.

5.7 Module Suspension and Removal

OverEngineeredVTT may suspend, remove, delist, or otherwise restrict access to any module at any time, with or without prior notice to the Creator, including where required by law, in response to a valid intellectual property complaint, or where OverEngineeredVTT determines in its sole discretion that the module poses a risk to users or the Platform.

  • Creators waive any claim for lost revenue, lost profits, or damages arising from a temporary suspension or permanent removal of their module from the Platform, where such action was taken in good faith.
  • Creators whose modules are removed due to policy violations forfeit any pending or unpaid earnings related to the period following the violation.
  • OverEngineeredVTT is not liable for any business loss, reputational harm, or loss of data suffered by a Creator as a result of module suspension or removal.

Where a module is removed from the Platform and existing license holders are affected, OverEngineeredVTT will assess refund eligibility on a case-by-case basis per Section 4.3. We are not obligated to issue refunds for module removal caused by circumstances beyond our reasonable control (including but not limited to Creator abandonment, third-party IP claims, or Foundry VTT platform changes).

6. Prohibited Conduct

You must not:

  • Use the Platform for any unlawful purpose or in violation of any applicable law or regulation.
  • Attempt to gain unauthorised access to any part of the Platform or another user's account.
  • Upload or transmit malicious code, viruses, or any content intended to damage or disrupt the Platform.
  • Reverse engineer, scrape, or systematically extract data from the Platform without our written consent.
  • Circumvent any license key or access control mechanism.
  • Impersonate any person or entity or misrepresent your affiliation with any person or entity.
  • Use automated means to create accounts, submit content, or perform actions not available through the normal user interface.
  • Interfere with or disrupt the Platform's infrastructure, services, or servers, or exceed reasonable automated request limits.

7. Intellectual Property

OverEngineeredVTT retains all rights to the Platform's code, design, logos, and branding. Creator content remains the intellectual property of the respective Creator. By submitting content to the Platform, Creators grant OverEngineeredVTT a non-exclusive, royalty-free, worldwide licence to host, display, and distribute that content on the Platform for the purpose of operating the marketplace.

"Foundry VTT" and associated trademarks are property of Foundry Gaming LLC. OverEngineeredVTT is an independent third-party marketplace and is not affiliated with or endorsed by Foundry Gaming LLC.

7.1 DMCA / Intellectual Property Takedown

If you believe that content on the Platform infringes your copyright or other intellectual property rights, please send a written notice to [email protected] including:

  • Identification of the copyrighted work claimed to be infringed.
  • Identification of the infringing material and its location on the Platform.
  • Your contact information (name, address, email).
  • A statement that you have a good-faith belief the use is not authorised by the rights holder.
  • A statement, made under penalty of perjury, that the information is accurate and that you are the rights holder or authorised to act on their behalf.
  • Your physical or electronic signature.

We will investigate valid notices and may remove or disable access to infringing content. Repeat infringers will have their Creator accounts terminated.

8. Disclaimers

THE PLATFORM AND ALL CONTENT ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.

We are not responsible for the accuracy, completeness, or quality of any Creator content, nor for compatibility of modules with any particular version of Foundry VTT or game system.

We do not guarantee continued compatibility of Creator modules with future Foundry VTT versions, third-party modules, game systems, or platform updates. Compatibility information in product listings is provided by Creators and reflects the state at the time of listing; it is not a warranty of future or ongoing compatibility.

We are not responsible for any loss, inconvenience, or damages arising from the temporary suspension ("Under Review"), permanent removal, archival, or abandonment of any module listed on the Platform. This includes but is not limited to: loss of access during a review period, inability to re-download a module that has been removed, and modules that become unmaintained or incompatible with future versions of Foundry VTT after a Creator departs the Platform. Your rights in respect of refunds for affected modules are set out in Section 4.3 and Section 5.7.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, OverEngineeredVTT AND PAUL NITSCH SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE PLATFORM, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ANY CLAIM ARISING OUT OF OR RELATED TO THESE TERMS SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) CAD $50.

10. Indemnification

You agree to indemnify, defend, and hold harmless OverEngineeredVTT and Paul Nitsch from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with your access to or use of the Platform, your content, or your violation of these Terms.

11. Third-Party Services

The Platform relies on third-party services including Stripe, Supabase, Cloudflare, and Resend. Use of those services is subject to their own terms and privacy policies. We are not responsible for the availability or conduct of those third-party services.

12. Termination

We may suspend or terminate your access to the Platform at any time, with or without notice, if you breach these Terms or if we decide to discontinue the Platform. Except in cases of fraud, chargeback abuse, or material breach of these Terms, your perpetual license to use previously purchased content remains valid for copies you have already downloaded and installed. However, account termination removes access to your account dashboard and the ability to re-download files from the Platform — we recommend retaining local copies of purchased modules. License keys issued prior to termination remain valid for installed copies. Earned and pending Creator payouts will be settled per Stripe's standard schedule.

13. Governing Law

These Terms are governed by and construed in accordance with the laws of Canada and the province of Alberta, without regard to conflict-of-law principles. Any dispute arising under these Terms shall be submitted to the exclusive jurisdiction of the courts located in Alberta, Canada.

14. Changes to These Terms

We may modify these Terms at any time. Material changes will be communicated via notice on the Platform or by email at least 7 days before taking effect. Continued use of the Platform after changes take effect constitutes your acceptance of the revised Terms.

We also reserve the right to modify, suspend, or discontinue any Platform features, services, or listed modules at any time. We will make reasonable efforts to notify affected users of significant changes.
